1. Agreement to These Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website located at www.kuriproducts.com (the “Site”), which is owned and operated by KURI Products, a division of Techeim Inc. (“KURI Products,” “we,” “us,” or “our”), with its principal place of business at 5 N Corporate Dr, Riverdale, NJ 07457, USA. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Site.

We may revise these Terms at any time by updating this page. The “Last Updated” date at the top of this page indicates when these Terms were most recently changed. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.

2. About Our Business

KURI Products is a business-to-business (B2B) distributor of cosmetic raw materials and ingredients, serving formulators, manufacturers, and brands in the personal care and cosmetics industry. The Site is intended for use by business and professional users. The Site is informational in nature and does not function as an online store; no products may be purchased directly through the Site.

3. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation;
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, the servers on which the Site is hosted, or any systems or networks connected to the Site;
  • Use any robot, spider, scraper, or other automated means to access the Site or extract data from the Site without our prior written consent;
  • Introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful;
  • Impersonate or attempt to impersonate KURI Products, a KURI Products employee, or any other person or entity; or
  • Use the Site in any manner that could disable, overburden, or impair the Site or interfere with any other party’s use of the Site.

4. Product and Ingredient Information

The Site may contain descriptions of cosmetic raw materials and ingredients, including technical characteristics, suggested applications, and other product-related information. All such information is provided for general informational purposes only and is subject to change without notice. Product descriptions on the Site do not constitute an offer to sell, a warranty, a product specification, or a representation of suitability for any particular use.

Detailed and controlling product information — including technical data sheets (TDS), safety data sheets (SDS), certificates of analysis (COA), and specifications — is provided separately in connection with actual commercial transactions. In the event of any conflict between information on the Site and the documentation provided with a specific product shipment or sale, the transaction documentation controls.

It is the sole responsibility of each purchaser and user of our products to determine the suitability of any material for its intended application; to conduct its own testing and evaluation; and to ensure that its formulation, labeling, marketing, and sale of finished products comply with all applicable laws and regulations, including without limitation the U.S. Federal Food, Drug, and Cosmetic Act, the Modernization of Cosmetics Regulation Act (MoCRA), and equivalent laws in other jurisdictions. Nothing on the Site constitutes medical, safety, or regulatory advice.

5. No Offer; Sales Terms

The Site does not constitute an offer to sell any product. All quotations, orders, and sales of products by KURI Products are subject to our then-current terms of sale, quotation documents, and/or a separately negotiated written agreement between KURI Products and the purchaser. These website Terms do not modify, supplement, or replace any such commercial agreement.

6. Intellectual Property

The Site and its entire contents, features, and functionality — including all text, graphics, logos, images, designs, and the selection and arrangement thereof — are owned by KURI Products, its licensors, or other providers of such material, and are protected by United States and international copyright, trademark, and other intellectual property laws.

The KURI Products name and logo, and all related names, logos, product names, and slogans, are trademarks of KURI Products or its affiliates. You may not use such marks without our prior written permission. Trade names and trademarks of ingredient manufacturers or suppliers referenced on the Site are the property of their respective owners.

You may view, download, and print pages from the Site for your own internal business use, provided you do not modify the materials, remove any copyright or proprietary notices, or use the materials for any commercial purpose other than evaluating our products and services.

7. Submissions

If you submit information to us through the Site — for example, through a contact or inquiry form — you represent that the information you provide is accurate and that you have the right to provide it. TO THE FULLEST EXTENT PERMITTED BY LAW, KURI PRODUCTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

THIS SECTION APPLIES TO THE SITE AND ITS CONTENT ONLY. WARRANTIES (IF ANY) APPLICABLE TO PRODUCTS SOLD BY KURI PRODUCTS ARE STATED EXCLUSIVELY IN THE APPLICABLE TERMS OF SALE OR WRITTEN AGREEMENT GOVERNING THE TRANSACTION.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL KURI PRODUCTS, TECHEIM INC., OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT ON THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless KURI Products, Techeim Inc., and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site in violation of applicable law.

12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law provisions. Any legal action or proceeding arising out of these Terms or the Site shall be brought exclusively in the state or federal courts located in the State of New Jersey, and you consent to the personal jurisdiction and venue of such courts.

13. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

14. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and KURI Products regarding your use of the Site, and supersede all prior understandings regarding the Site. For clarity, commercial sales of products remain governed by the applicable terms of sale or written agreements described in Section 5.
